PEEPSBIO - TERMS AND CONDITIONS Last Updated: 20 April 2026 Effective Date: 20 April 2026 These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and PeepsBio ("PeepsBio", "we", "us", "our") governing your access to and use of the PeepsBio mobile application, website (peeps.bio), and related services (collectively, the "Service"). BY CREATING AN ACCOUNT, ACCESSING, OR USING THE SERVICE, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE. ---------------------------------------- 1. ELIGIBILITY ---------------------------------------- 1.1 You must be at least 18 years old to create an account and use the Service. By using the Service, you represent and warrant that you meet this age requirement. 1.2 If you are under the age of majority in your jurisdiction (typically 18), you confirm that you have obtained verifiable parental or legal-guardian consent. 1.3 You must not be barred from receiving services under the laws of your country of residence or any other applicable jurisdiction (including the United States, the European Union, or the United Kingdom). 1.4 You may only maintain one (1) active account at a time. Accounts may not be transferred, sold, or assigned. ---------------------------------------- 2. THE SERVICE ---------------------------------------- PeepsBio is a social platform that allows users to: (a) create a public profile (name, username, bio, photos, interests, profession, social links); (b) discover and connect with other users via location-based events and direct messaging; (c) optionally connect third-party services (e.g., Spotify, Instagram, Google, Apple) to enrich their profile; (d) create, join, and chat in user-generated events; (e) receive push notifications related to messages, requests, and events. We may modify, suspend, or discontinue any feature of the Service at any time, with or without notice, to the extent permitted by applicable law. ---------------------------------------- 3. ACCOUNT REGISTRATION & SECURITY ---------------------------------------- 3.1 You agree to provide accurate, current, and complete information during registration and to keep that information up to date. 3.2 You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. 3.3 You must notify us immediately at support@peeps.bio of any unauthorized use of your account or other security breach. 3.4 We may, at our sole discretion, refuse, suspend, or terminate any account at any time for violation of these Terms or applicable law. ---------------------------------------- 4. USER CONTENT ---------------------------------------- 4.1 "User Content" means any text, photos, links, messages, event details, profile information, or other materials you submit to the Service. 4.2 You retain all ownership rights in your User Content. By submitting User Content, you grant PeepsBio a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify (e.g., resize images), publicly display, and distribute your User Content solely for the purpose of operating, providing, improving, and promoting the Service. 4.3 This license terminates when you delete the relevant User Content or your account, except (i) to the extent your User Content has been shared with other users who have not deleted it, and (ii) for backups retained for a limited period as required by law or for legitimate business purposes. 4.4 You represent and warrant that you own or have the necessary rights to all User Content you submit, and that your User Content does not infringe any third-party rights or violate any law. ---------------------------------------- 5. PROHIBITED CONDUCT AND ZERO-TOLERANCE POLICY (APPLE GUIDELINE 1.2) ---------------------------------------- You agree NOT to use the Service to: (a) post, transmit, or share content that is unlawful, threatening, abusive, harassing, defamatory, vulgar, obscene, pornographic, hateful, racist, or otherwise objectionable; (b) sexually exploit, abuse, endanger, or harm minors in any way; (c) impersonate any person or entity or misrepresent your affiliation; (d) solicit personal information from minors; (e) engage in stalking, harassment, hate speech, threats of violence, or doxing; (f) post nudity, sexually explicit content, or content depicting graphic violence; (g) use the Service for prostitution, escort services, or human trafficking; (h) post spam, chain letters, pyramid schemes, or commercial solicitations; (i) upload viruses, malware, or any malicious code; (j) scrape, crawl, harvest, or otherwise collect data from the Service by automated means; (k) reverse engineer, decompile, or attempt to extract source code from the Service; (l) interfere with, disrupt, or impose unreasonable load on the Service or its infrastructure; (m) use the Service in any manner that violates applicable law (including export-control, anti-money-laundering, and sanctions laws). PeepsBio enforces a ZERO-TOLERANCE POLICY for objectionable content and abusive behaviour. We provide in-app tools to: * flag/report objectionable content and users; * block other users instantly; * request removal of content. We commit to acting on reports of objectionable content within twenty-four (24) hours by removing the content and/or ejecting the offending user, where appropriate. Repeat offenders will be permanently banned. To report objectionable content or abusive behaviour by email, contact report@peeps.bio. ---------------------------------------- 6. THIRD-PARTY INTEGRATIONS ---------------------------------------- 6.1 The Service allows you to connect optional third-party accounts (e.g., Spotify, Instagram, Google, Apple, GitHub). Use of such third-party services is governed by the respective third party's terms and privacy policy. 6.2 PeepsBio is not responsible for the availability, accuracy, content, or practices of third-party services. 6.3 You may disconnect any third-party integration at any time from the in-app settings. ---------------------------------------- 7. SUBSCRIPTIONS, IN-APP PURCHASES & PAYMENTS ---------------------------------------- 7.1 Certain features may require a paid subscription or one-time purchase. All purchases made through the iOS app are processed by Apple and governed by Apple's Media Services Terms. 7.2 Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current period. Renewal is charged through your Apple ID. 7.3 You may manage and cancel subscriptions at any time via your device's account settings. 7.4 Except as expressly required by law (including the EU/UK statutory withdrawal rights described in Section 14), all purchases are final and non-refundable. Refund requests for App Store purchases must be submitted directly to Apple. ---------------------------------------- 8. INTELLECTUAL PROPERTY ---------------------------------------- 8.1 All rights, title, and interest in and to the Service (excluding User Content), including all related software, design, trademarks, logos, and content created by us, are owned by PeepsBio or its licensors and are protected by international copyright, trademark, and other intellectual-property laws. 8.2 We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service strictly in accordance with these Terms. 8.3 The "PeepsBio" name and logo are trademarks of PeepsBio. You may not use them without our prior written permission. ---------------------------------------- 9. PRIVACY ---------------------------------------- Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share information about you. By using the Service, you consent to the data practices described in the Privacy Policy. ---------------------------------------- 10. LOCATION-BASED FEATURES & SAFETY ---------------------------------------- 10.1 The Service uses location data to enable event discovery and proximity-based matching. You can control location-permission settings at the operating-system level at any time. 10.2 PeepsBio is an online platform; we do not conduct background checks on users. You are solely responsible for your interactions with other users, including any in-person meetings. 10.3 Always exercise caution: meet in public places, tell a friend where you are going, do not share sensitive personal or financial information, and report any suspicious behaviour to us and to local authorities. 10.4 PeepsBio disclaims all liability, to the maximum extent permitted by law, for the conduct of any user, online or offline. ---------------------------------------- 11. TERMINATION ---------------------------------------- 11.1 You may terminate your account at any time from in-app settings ("Delete My Account"). Upon deletion, your data will be permanently removed in accordance with our Privacy Policy and applicable law. 11.2 We may suspend or terminate your account immediately, without notice, if we believe you have violated these Terms, applicable law, or for any other reason at our sole discretion. 11.3 Sections that by their nature should survive termination (including IP, indemnity, disclaimers, limitation of liability, and dispute resolution) shall survive. ---------------------------------------- 12. DISCLAIMERS ---------------------------------------- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT (a) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (b) ANY DEFECTS WILL BE CORRECTED; (c) THE SERVICE OR ANY SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (d) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS. NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY WARRANTY, RIGHT, OR REMEDY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW (INCLUDING UNDER EU/UK CONSUMER LAW). ---------------------------------------- 13. LIMITATION OF LIABILITY ---------------------------------------- TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PEEPSBIO, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED EURO (EUR100). NOTHING IN THESE TERMS LIMITS LIABILITY FOR (i) DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE; (ii) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (iii) ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. ---------------------------------------- 14. CONSUMER RIGHTS (EU / UK / EEA) ---------------------------------------- 14.1 If you are a consumer residing in the European Union, the European Economic Area, or the United Kingdom, you have a statutory right to withdraw from a digital-content purchase within 14 days without giving any reason. By purchasing and accessing digital content immediately, you expressly request immediate performance and acknowledge that you lose the right of withdrawal once delivery has begun. 14.2 Nothing in these Terms affects your statutory consumer rights, including remedies for non-conforming digital content under Directive (EU) 2019/770. 14.3 The European Commission provides an Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr. ---------------------------------------- 15. INDEMNIFICATION ---------------------------------------- To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless PeepsBio and its affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your User Content; (b) your use of the Service; (c) your violation of these Terms; or (d) your violation of any third-party right. ---------------------------------------- 16. GOVERNING LAW & DISPUTE RESOLUTION ---------------------------------------- 16.1 These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict-of-laws principles, EXCEPT that nothing in this clause overrides any mandatory consumer-protection law of your country of residence. 16.2 Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Dublin, Ireland, EXCEPT that consumers may also bring proceedings in the courts of their country of residence. 16.3 If you reside in the United States, any dispute shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, and you waive any right to a jury trial or class action, except where prohibited by law. You may opt out of this arbitration clause within 30 days of first accepting these Terms by emailing info@peeps.bio. ---------------------------------------- 17. APPLE-SPECIFIC TERMS (iOS USERS) ---------------------------------------- The following terms apply only when you access the Service via an Apple iOS device: (a) These Terms are between you and PeepsBio only, not Apple Inc. ("Apple"). (b) PeepsBio, not Apple, is solely responsible for the Service and its content. (c) Your license to use the Service is limited to a non-transferable license to use the Service on Apple-branded products that you own or control, as permitted by the Apple Media Services Terms. (d) Apple has no obligation to provide maintenance or support for the Service. (e) In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Service. (f) PeepsBio, not Apple, is responsible for addressing any claims relating to the Service, including product-liability claims, claims of non-conformity with applicable law, and claims under consumer-protection or similar legislation. (g) PeepsBio, not Apple, is responsible for the investigation, defense, settlement, and discharge of any third-party intellectual-property infringement claim relating to the Service. (h) You represent and warrant that (i) you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties. (i) Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary. ---------------------------------------- 18. CHANGES TO THESE TERMS ---------------------------------------- We may modify these Terms at any time. If we make material changes, we will notify you via in-app notice or email at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. ---------------------------------------- 19. MISCELLANEOUS ---------------------------------------- 19.1 Entire Agreement: These Terms, together with the Privacy Policy and EULA, constitute the entire agreement between you and PeepsBio. 19.2 Severability: If any provision is held unenforceable, the remaining provisions shall remain in full force. 19.3 No Waiver: Our failure to enforce any right or provision shall not be deemed a waiver. 19.4 Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms freely. 19.5 Force Majeure: We shall not be liable for any delay or failure caused by events beyond our reasonable control. ---------------------------------------- 20.
