PEEPSBIO - END USER LICENSE AGREEMENT (EULA) Last Updated: 20 April 2026 Effective Date: 20 April 2026 This End User License Agreement ("EULA" or "Agreement") is a legally binding contract between you ("Licensee", "you", "your") and PeepsBio ("Licensor", "we", "us", "our") governing your installation and use of the PeepsBio mobile application and any related software, updates, and documentation (collectively, the "Application"). THIS EULA INCLUDES THE MANDATORY APPLE END USER LICENSE AGREEMENT TERMS REQUIRED BY THE APPLE APP STORE REVIEW GUIDELINES. BY DOWNLOADING, INSTALLING, OR USING THE APPLICATION, YOU AGREE TO BE BOUND BY THIS EULA. IF YOU DO NOT AGREE, DO NOT DOWNLOAD, INSTALL, OR USE THE APPLICATION. ---------------------------------------- 1. ACKNOWLEDGEMENT ---------------------------------------- You acknowledge that this EULA is concluded between you and PeepsBio only, and not with Apple Inc. ("Apple"). PeepsBio, not Apple, is solely responsible for the Application and its content. This EULA does not provide for usage rules for the Application that conflict with the Apple Media Services Terms and Conditions ("Usage Rules") in effect as of the date you acquired the Application. ---------------------------------------- 2. SCOPE OF LICENSE ---------------------------------------- 2.1 Subject to your compliance with this EULA, PeepsBio grants you a limited, non-transferable, non-exclusive, non-sublicensable, revocable license to install and use the Application: (a) on any Apple-branded device that you own or control; and (b) as permitted by the Apple Media Services Terms and the Usage Rules. 2.2 You may not: (a) distribute, sell, lease, lend, rent, or sublicense the Application; (b) copy (except as expressly permitted by this license and the Usage Rules), decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Application or any updates, except to the extent permitted by applicable law; (c) circumvent any security or access-control mechanisms; (d) remove or alter any proprietary notices. 2.3 Any attempted transfer in violation of this section is void. 2.4 PeepsBio reserves all rights not expressly granted to you. ---------------------------------------- 3. CONSENT TO USE OF DATA ---------------------------------------- You acknowledge and agree that PeepsBio may collect and use technical data and related information -- including but not limited to technical information about your device, system and application software, and peripherals -- that is gathered periodically to facilitate the provision of software updates, product support, and other services to you (if any) related to the Application. PeepsBio may use this information, as long as it is in a form that does not personally identify you, to improve its products or to provide services or technologies to you. AGE & ELIGIBILITY ---------------------------------------- You must be at least 18 years of age to download, install, or use the Application. By accepting this EULA, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into this Agreement. ---------------------------------------- 5. OBJECTIONABLE CONTENT POLICY (ZERO TOLERANCE) ---------------------------------------- The Application includes user-generated content. PeepsBio enforces a ZERO-TOLERANCE policy for objectionable content and abusive behaviour, in compliance with Apple App Store Review Guideline 1.2. By using the Application, you agree: (a) NOT to upload, post, transmit, or share any content that is illegal, harassing, threatening, obscene, pornographic, sexually explicit, hateful, racist, defamatory, infringing, or otherwise objectionable; (b) to use the in-app reporting and blocking tools to flag objectionable content or abusive users; (c) that PeepsBio will review reports and act on objectionable content within twenty-four (24) hours by removing the content and/or ejecting the offending user where appropriate; (d) that violations may result in immediate suspension or termination of your account without refund. ---------------------------------------- 6. SERVICES & THIRD-PARTY MATERIALS ---------------------------------------- 6.1 The Application enables access to PeepsBio's services and to third-party websites and services (collectively, "Services"). Use of the Services may require Internet access and acceptance of additional terms. 6.2 You agree to use the Services at your sole risk. PeepsBio is not responsible for examining or evaluating the content or accuracy of any third-party services and does not warrant or endorse them. 6.3 If you choose to use such Services, you agree not to use them in a manner that would conflict with or violate the terms of any other agreement or any applicable law. 6.4 You agree that the Services contain proprietary content, information, and material protected by intellectual-property and other laws. You will not use such proprietary content except for permitted use of the Services or in any manner inconsistent with this EULA. ---------------------------------------- 7. TERMINATION ---------------------------------------- This EULA is effective until terminated by you or PeepsBio. Your rights under this EULA will terminate automatically without notice if you fail to comply with any term. Upon termination, you must cease all use of the Application and destroy all copies in your possession. ---------------------------------------- 8. NO WARRANTY ---------------------------------------- TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. PEEPSBIO HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE APPLICATION, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY PEEPSBIO OR ITS AUTHORISED REPRESENTATIVES SHALL CREATE A WARRANTY. IF THE APPLICATION PROVES DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU. ---------------------------------------- 9. LIMITATION OF LIABILITY ---------------------------------------- TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL PEEPSBIO BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APPLICATION, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF PEEPSBIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. In no event shall PeepsBio's total liability to you for all damages exceed the amount of fifty euro (EUR50.00). The foregoing limitations will apply even if the above-stated remedy fails of its essential purpose. Nothing in this Agreement excludes liability that cannot be excluded under applicable law. ---------------------------------------- 10. EXPORT CONTROL ---------------------------------------- You may not use or otherwise export or re-export the Application except as authorised by United States law and the laws of the jurisdiction in which the Application was obtained. In particular, but without limitation, the Application may not be exported or re-exported (a) into any U.S.-embargoed country, or (b) to anyone on the U.S. Treasury Department's Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List. By using the Application, you represent and warrant that you are not located in any such country or on any such list. You also agree that you will not use the Application for any purposes prohibited by United States law, including but not limited to the development, design, manufacture, or production of nuclear, missile, or chemical or biological weapons. ---------------------------------------- 11. COMMERCIAL ITEMS ---------------------------------------- The Application and related documentation are "Commercial Items", as that term is defined at 48 C.F.R. Section2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation", as such terms are used in 48 C.F.R. Section12.212 or 48 C.F.R. Section227.7202, as applicable. ---------------------------------------- 12. GOVERNING LAW ---------------------------------------- This EULA shall be governed by and construed in accordance with the laws of Ireland, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods. Mandatory consumer-protection laws of your country of residence shall continue to apply. ---------------------------------------- 13. APPLE AS THIRD-PARTY BENEFICIARY ---------------------------------------- You and PeepsBio acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary. ---------------------------------------- 14. APPLE'S RESPONSIBILITY ---------------------------------------- 14.1 Maintenance and Support. PeepsBio is solely responsible for providing any maintenance and support services with respect to the Application, as specified in this EULA, or as required under applicable law. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Application. 14.2 Warranty. PeepsBio is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Application (if any). To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be PeepsBio's sole responsibility. 14.3 Product Claims. PeepsBio, not Apple, is responsible for addressing any claims of you or any third party relating to the Application or your possession and/or use of the Application, including but not limited to: (i) product-liability claims; (ii) any claim that the Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer-protection, privacy, or similar legislation, including in connection with the Application's use of HealthKit and HomeKit (if applicable). 14.4 Intellectual Property Rights. In the event of any third-party claim that the Application or your possession and use of that Application infringes that third party's intellectual property rights, PeepsBio, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual-property infringement claim. ---------------------------------------- 15.
